Constitution of Freeloaderz Community Association. Adopted April 20th, 2022 by DAO vote

Preamble

As users of the Cardano network, the members of FreeLoaderz come together to form this organization that will serve our community. Our founders originate from around the world, with different identities and experiences. We are brought together in our hope that decentralized technologies will allow us to cooperate in a renewed spirit of honesty and equality.

We seek to operate our organization according to the principles made manifest in blockchain technologies. Our knowledge shall be shared, and our actions shall be auditable. Our motivations shall be transparent, and our records shall be immutable. We will provide a forum where all voices are heard, and governance that ensures that the will of the whole shall be executed. Anyone may associate or disassociate freely while we collectively build tools for everyone to use. The spirit of our organisation shall be this one unrelenting quest: Decentralization Together.

Article I - Organisation

Section 1.1 - Status. Section 1.1 - Status. FreeLoaderz DAO LLC is an unincorporated association under Wyo. Stat. Title 17, Ch. 22 of the laws of the state of Wyoming.

FreeLoaderz is not intended to be, and shall not be deemed to be, a partnership.

Section 1.2 - Purposes. As more fully stated in its Mission Statement (as may be updated from time to time via governance) FreeLoaderz is organized for the following purposes:

  • To provide utility for the network that utilizes stake pool relay servers via api services.

  • To develop tools for decentralized transaction submission and token distribution.

  • To offer educational, technical, organizational, and financial support in designing decentralized services.

Section 1.3 - Not an Investment Company. FreeLoaderz is not organized to provide financial services, advice, or investment opportunities. All the content developed by FreeLoaderz, with the exception of identifying materials, shall be placed in the public domain or under an open license depending upon the proper circumstances of the product. FreeLoaderz projects and products should not be considered investments and no promises are made that they will hold any monetary value or provide any monetary returns.

Section 1.4 - Cooperative principles. FreeLoaderz shall be operated in the spirit of cooperative principles framed by the 1995 General Assembly of the International Co-operative Alliance, including:

  1. voluntary and open membership;

  2. democratic member control through distributed ledger smart contract voting management;

  3. member economic participation;

  4. autonomy and independence of FreeLoaderz;

  5. providing education, training and information;

  6. cooperation with other DAO cooperatives; and

  7. concern for community.

Section 1.5 - Nondiscrimination. FreeLoaderz shall not arbitrarily discriminate on the basis of race, nationality, religion, age, gender, sexual orientation, disability, political affiliation, or other legally protected characteristics.

Section 1.6 - Decentralized Autonomous Organization (DAO). FreeLoaderz is a DAO, an unincorporated association of individuals, entities, associations and/or other persons or groups of persons who all agree to join together in a common purpose. For FreeLoaderz that purpose is encapsulated in our Mission Statement.

Section 1.7 - Term and Continuation of DAO. FreeLoaderz will continue perpetually so long as Members vote to continue the activities of the organization. Should the members ever deem it necessary to cease operation of the DAO they shall transfer the Treasury to Trustee(s) who shall distribute the assets to charitable organizations in line with the ethos and Mission Statement of FreeLoaderz.

Article II - Membership

Section 2.1 - Eligibility. Membership shall be voluntary and application open to any individual whose purpose or presumed intent is to contribute, to build, and to use the services of FreeLoaderz and is willing to accept the responsibilities and terms of membership.

Section 2.2 - Admission. Membership in FreeLoaderz shall be granted to all members of the Cardano community who are willing to uphold the FreeLoaderz Mission Statement and ratify the Constitution. A member of the Cardano community is anyone who possesses a Cardano wallet with stake delegated to an active stake pool. There shall be no requirement to contribute time to FreeLoaderz projects or assets to the FreeLoaderz Treasury.

Members shall fall into one or more of the following categories:

  • GovToken Holders are individuals who hold the FreeLoaderz Governance Token (FreeLoaderz). GovToken Holders are responsible for deciding the priorities of the DAO through the proposal process. No assets may be moved out of the DAO treasury without a vote of GovToken Holders and all program coordination is formalized through votes on proposals.

  • Active Contributors are community volunteers who dedicate their time to DAO projects or working groups. Individuals who contribute can claim bounties from the DAO treasury and use any GovTokens they receive to vote on what projects the DAO should work on next.

  • Community Associates are any member of the Cardano community who chooses to associate with FreeLoaderz. Even if an individual does not yet hold any GovTokens they can engage in legitimate peripheral participation by engaging in community discussions to help guide DAO efforts.

Section 2.3 - Rights. FreeLoaderz Members shall utilize the “Designated Smart Contract” (a smart contract deployed to the Cardano Blockchain at the Designated Blockchain Address as the exclusive method of holding, allocating among the FreeLoaderz Members, and spending, or otherwise distributing any Tokens that are FreeLoaderz property, of minting and issuing GovTokens and holding and recording votes of the FreeLoaderz Members. FreeLoaderz may also utilize the Designated Smart Contract to administer and facilitate certain other arrangements and transactions involving FreeLoaderz, the FreeLoaderz Members and/or third parties.

FreeLoaderz Members’ rights and responsibilities are controlled by the use of the Designated Smart Contact used to conduct its governance and FreeLoaderz activities. FreeLoaderz’s Cardano Agent is the Designated Smart Contract that holds the UTXO containing the FreeLoaderz Identity NFT, Cardano Token Identifier 329006853fed21ad7968e3538ac70dfb5fb097a1b6b587ee3fc3f13e.FLZ

This Designated Smart Contract shall contain the rules of FreeLoaderz governance to act on behalf of the DAO, and to contract on behalf of the DAO through FreeLoaderz membership vote. FreeLoaderz members will cast votes and carry out the decisions made on the Designated Smart Contract as well as any Associated Smart Contracts that are generated by the Designated Smart Contract.

Section 2.4 - Responsibilities. By accepting and retaining membership each applicant shall agree to use the products or services of FreeLoaderz on at least an occasional basis. Each member shall keep reasonably current on the state of the DAO by reviewing correspondence from the FreeLoaderz social media channels or connecting with other FreeLoaderz members in the designated collaboration platforms. Members also agree to abide by the standards of professional conduct as outlined in the FreeLoaderz Handbook.

If you have received any FreeLoaderz tokens or are otherwise a DAO Member, you consent to contact and agree to become legally bound by this Agreement as both a FreeLoaderz participant and more specifically an "FreeLoaderz Member".

Section 2.5 - Limitations. Status as a FreeLoaderz Member does not (and shall not be deemed to) create, and the FreeLoaderz Membership Rights do not (and shall not be deemed to) include, any authority, right or power on the part of a FreeLoaderz Member to act as the agent, representative or attorney of or otherwise act on behalf of FreeLoaderz or any other FreeLoaderz Member, to bind FreeLoaderz or any other FreeLoaderz Member to any Contract or Liability or to convey any FreeLoaderz property or any asset, right or property owned or held by or on behalf of FreeLoaderz or any FreeLoaderz Member. Without limiting the generality of the foregoing, no FreeLoaderz Member shall be deemed the partner of FreeLoaderz or any other FreeLoaderz Member. No FreeLoaderz Member shall state, purport, imply, hold out or represent to any person that such FreeLoaderz Member or any other FreeLoaderz Member has any such authority, right or power.

To the maximum extent permitted by applicable law, no FreeLoaderz Member shall be (or shall be deemed to be) liable for any liability of the FreeLoaderz or any other FreeLoaderz Member. This shall not (and shall not be deemed to) create or imply any obligation of FreeLoaderz or any FreeLoaderz Member to indemnify or compensate any FreeLoaderz Member from, or hold any FreeLoaderz Member harmless against, any Liabilities incurred by such DAO Member under any applicable law, in connection with the FreeLoaderz Member's participation in FreeLoaderz or otherwise.

Section 2.6 - Inactive status. A member who falls from good standing may have their membership revoked or suspended through the vote of FreeLoaderz Membership (each said action, a “Member Removal”). References herein to the rights and entitlements of members shall be understood to refer only to members in good standing.

Section 2.7 - Access to information. Members shall have access to information concerning the operational and financial affairs of via the Treasury application of the organization. The FreeLoaderz treasury can always be viewed by exploring the Designated Smart Contract.

Section 2.8 - Settlement of disputes. In any dispute between FreeLoaderz and any of its members or former members which cannot be resolved through informal negotiation, it shall be the policy of FreeLoaderz to prefer the use of mediation whereby an impartial mediator may facilitate negotiations between the parties and assist them in developing a mutually acceptable settlement. Neither party with a grievance against the other shall have recourse to litigation until the matter is submitted to mediation and attempted to be resolved in good faith. All FreeLoaderz Membership agree that there is a preference to settle disputes amongst members or between members and FreeLoaderz via decentralized dispute mechanisms via smart contract protocols.

Section 2.9 - Transferability of Membership. Membership rights and interests may be transferred by token exchange. A member may increase their voting power by obtaining more GovTokens but must meet all the regular requirements for membership in order to exercise these rights.

Section 2.10 - Withdrawal and Expulsion. A member may withdraw at any time by divesting themselves of all FreeLoaderz Tokens and publicly declaring, through a Cardano Transaction Comment made by their wallet, that they are formally disassociating.

A member may be expelled by FreeLoaderz through the Member Removal procedure established in section 2.6 of this document and adopted by the membership. Upon termination of membership, all rights and interests in FreeLoaderz shall cease.

Article III - Decentralised Governance

Section 3.1 - Powers and duties. Except as to matters reserved to members by this constitution, all FreeLoaderz powers shall be exercised by or under the authority of GovToken Holders or such agents or designees approved by GovToken Holders through Designated Smart Contract voting.

Section 3.2 - Voting. All voting of FreeLoaderz Members will be performed on the Designated Blockchain according to the mechanisms established by the Designated Smart Contract and any Associated Smart Contracts that may be established by the Designated Smart Contract. Records of votes shall be recorded on the Designated Blockchain. Any vote, poll, or call for consensus that is taken in the Designated Communication Platform, FreeLoaderz social media accounts, or any other place shall be considered non-binding and advisory in nature until a formal vote is held.

Section 3.3 - Core Contributors. The Core Contributors shall be an advisory group made up of individuals selected from the Active Participants of FreeLoaderz. Core Contributors will be responsible for managing the administrative operations of FreeLoaderz, overseeing the social media and communication channels, and organizing meetings of FreeLoaderz members. Core Contributors may also be responsible for leading the Working Groups of FreeLoaderz and serve as multi-sig trustees of any Associated Contracts established by the Designated Smart Contract.

The FreeLoaderz Core Contributors group is not required and may be created or disbanded according to the will of the FreeLoaderz members. Creation and Designation of the FreeLoaderz Core Contributors will be approved via the Designated Smart Contract and individuals in this role will have their identity recorded in the metadata of a Non-Fungible Token minted on the Designated Blockchain and placed in the FreeLoaderz Treasury. Core Contributors shall retain their status until such time that it expires, is revoked, or they resign from the role.

Section 3.4 - Working Groups. Working Groups shall be small units of Active Contributors and may have one or more Core Contributors designated as the group lead. The purpose of these groups shall be to ensure the operation of the DAO and organize efforts on projects that further the mission of the DAO.

Article IV - Meeting of Members

Section 4.1 - Meetings. Meetings of members shall be described on a basis at the discretion of its membership on the Designated Communication Platform. Typically, meetings are set on weekly cadence through internet chat which is where parties agree to conduct such business as may properly come before the meeting. The purpose of meetings will be for FreeLoaderz members to discuss governance proposals that may be voted upon and other DAO business as may be appropriate.

Section 4.2 - Special meetings. Special meetings of members may be called by the FreeLoaderz Core Contributors as needed.

Section 4.3 -Time and place. The date, time and place of all meetings of the FreeLoaderz Core Contributors shall be determined by the FreeLoaderz Core Contributors group or, in the event that the FreeLoaderz Core Contributors group fails to act, by a call for vote via the GovToken Holders.

Section 4.4 - Notice. The membership is responsible for monitoring votes of concern on the Designated Smart Contract. Notice of votes can be set up by GovToken Holders via the Designated Smart Contract and when votes are triggered in the Designated Communication Platform. Notices of meetings shall also be posted on FreeLoaderz’s official social media and the Designated Communication Platform including the member information roster, but the inadvertent failure to do so shall not affect the validity of the meeting. Any business conducted at a meeting of members other than that specified in the notice of the meeting shall be of an advisory nature only.

Section 4.5 - Quorum. The FreeLoaderz Handbook (“Handbook”) shall provide a written explanation of the voting mechanism and voting quorum requirements of FreeLoaderz. All actions using a software agent (e.g. Cardano script), Treasury, membership and voting are governed by the Designated Smart Contract.

Article V - Partnerships

Section 5.1 - Purpose of Partnerships. In order to further its mission FreeLoaderz may establish joint venture partnerships with other organizations in the Cardano network, other blockchain networks, or in the wider world.

Section 5.2 - Negotiating Partnerships. The terms and conditions of Partnerships shall be negotiated by the Core Contributors and other Active Participants who may be selected. In order to respect the privacy of potential partners these discussions may be held in "closed-door" sessions that are not open to the public or general membership. However, no partnership agreement may be proposed without full details of what shall be built or provided by any organization taking part in the agreement.

Section 5.3 - Conflicts of Interest. Any potential conflicts of interest held by partnership negotiators, FreeLoaderz Core Contributors, FreeLoaderz working group leads, or partner organization leadership shall be disclosed to the FreeLoaderz membership when a partnership proposal is presented. This shall include but is not limited to affiliation with the partner organization, significant holdings of tokens issued by the partner organization, and proposed individual compensation of FreeLoaderz contributors. FreeLoaderz membership shall determine whether a potential conflict of interest is disqualifying or can be managed.

Section 5.4 - Ratifying Partnerships. Partnerships shall be ratified through the proposal process. Prospective partnerships may be announced but will not have official standing until the related proposal is passed.

Section 5.5 - Partnership Limitations. FreeLoaderz reserves the right to withdraw from a partnership at any time by a vote of membership through the proposal process. All products made for partnerships shall follow the development spirit of FreeLoaderz to place code under an open license. The participation in a joint venture partnership to create a defined product or engage in a project shall not be confused with a general partnership where a new business enttity is created.

Article VI - Member Removal and Exit

Section 6.1 - Member Removal Procedures. Shall be governed by the Handbook.

Section 6.2 - Material Adverse Exception Event. Notwithstanding anything to the contrary set forth in Section 4, if there is a Material Adverse Exception Event, then the rules and procedures set forth in this clause shall determine the rights and obligations of the GovToken Holders relating to the FreeLoaderz property.

Section 6.3 - Member Management Procedures. All FreeLoaderz Members agree to act in accordance with the standards of professional conduct outlined in the Handbook and posted in the Designated Communication Platform. In order to uphold these standards FreeLoaderz Core Contributors shall appoint FreeLoaderz account moderators who will be empowered to ban accounts from the Designated Communication Platform and block accounts on social media platforms. While banned or blocked, GovToken Holders are still eligible to vote on proposals through the Designated Smart Contract. If an individual wishes to have a banned or blocked account reinstated to good standing with FreeLoaderz they may appeal to the moderator(s) who banned them or submit a proposal to the Designated Smart Contract asking the FreeLoaderz Membership to override the ban.

Article VII - Fiscal Matters

Section 7.1 - No Patronage Dividends. There will be no patronage dividends offered for members of FreeLoaderz. Assets will be distributed from the Treasury only for the purpose of funding bounties, which are

  • Grants of tokens offered to contributors who do work furthering the mission of the organization,

  • Funding for Associated Contracts that shall support work furthering the mission of the organization, or

  • Payments for services rendered by persons designated by the organization.

Section 7.2 - Fiscal year. The fiscal year of FreeLoaderz shall be the calendar year beginning January 1st and Ending December 31st.

Section 7.3 - Governance Shares and Capital Shares. It is noted that different Designated Smart Contracts have different manners of managing governance shares (“GovToken”) versus contributed capital and efforts resulting in retains to FreeLoaderz (“Treasury Shares”). FreeLoaderz members have no rights of redemption of any working capital, or token assets, held within FreeLoaderz. No redemption may be offered without revision to the Designated Smart Contract and an amendment to this Constitution.

It is not anticipated that FreeLoaderz will ever turn a “profit” as excess capital will be paid out via charitable donations, grants, or other forms of support meant to carry out the Mission Statement.

Article VIII - Legal Matters

Section 8.1 - Legal Representatives. FreeLoaderz shall designate individuals to serve as legal representatives of the organization. These individuals shall form a Non-profit Foundation (the "FreeLoaderz Foundation") in a physical legal jurisdiction in order to safeguard the interests of the organization and shall have the power to sign and bind for the DAO insofar as their actions are approved by DAO governance. Legal representatives of the DAO shall have their identity recorded in the metadata of a Non-Fungible Token minted on the Designated Blockchain and placed in the FreeLoaderz Treasury.

Section 8.2 - FreeLoaderz Foundation. The FreeLoaderz Foundation shall be governed by a Board of Directors appointed by FreeLoaderz governance procedure. The foundation shall Hold the intellectual DAO’s interests, property rights, and enforce any such related legal rights.

Section 8.3 - Indemnification. The FreeLoaderz Foundation shall indemnify, defend and hold harmless its managers, officers, employees, FreeLoaderz, and FreeLoaderz members from and against any and all loss, costs, penalties, fines, damages, claims, expenses (including attorney’s fees) or liabilities to the fullest extent possible, arising out of, resulting from, or in connection with the purpose of the FreeLoaderz Foundation, to the fullest extent of the law, and may further indemnify such persons as deemed necessary. Indemnification payments shall be made on a priority basis but only in such increments and at such times as will not jeopardize the ability of FreeLoaderz Foundation to pay its other obligations as they become due.

Section 8.4 - Communication by electronic means. Unless otherwise required by law or by agreement, any notice, vote, consent, petition, or other oral or written communication required or permitted can be delivered by electronic means, provided that, in the case where such communication expressly or impliedly requires the signature of the person submitting the communication, means are in place to reasonably assure the authenticity of the signature.

Article IX - Interpretation and Amendment of Constitution

Section 9.1 - Interpretation. The FreeLoaderz Core Contributors (if formed via vote of GovToken Holders) shall have the power to interpret this Constitution, apply them to particular circumstances, and adopt policies in furtherance of them, provided that all such actions are reasonable and consistent.

Section 9.2 - Severability. In the event that any provision of this Constitution is determined to be invalid or unenforceable under any statute or rule of law, then such provision shall be deemed inoperative to such extent and shall be deemed modified to conform with such statute or rule of law without affecting the validity or enforceability of any other provision of this Constitution.

Section 9.3 - Amendment. This Constitution may be amended by presenting the redlined version of the amendments at a meeting of members and adopted by a vote or merge request as prescribed in the Handbook. No adoption will be formal until a proposal is passed by a vote of GovToken Holders in the Designated Smart Contract.

Article X - Definitions

(a) “Account Address” means a public key address on the Designated Blockchain Network that is uniquely associated with a single private key, and at which no smart contract has been deployed.

(b) “Claim” means any past, present or future dispute, claim, controversy, demand, right, obligation, liability, action or cause of action of any kind or nature.

(c ) “Confirmation” of a transaction shall be deemed to have occurred if and only if such transaction has been recorded in accordance with the Consensus Rules in a valid block whose hashed header is referenced by at least 12 subsequent valid blocks on the Designated Blockchain.

(d) “Consensus Attack” means an attack that: (i) is undertaken by or on behalf of a block producer who controls, or group of cooperating block producers who collectively control, a preponderance of the means of block production on the Designated Blockchain Network; and (ii) has the actual or intended effect of: (A) reversing any transaction made to or by the Designated Smart Contract after Confirmation of such transaction, including any “double spend” attack having or intended to have such effect; or (B) preventing inclusion in blocks or Confirmation of any transaction made to or by the Designated Smart Contract, including any “censorship attack,” “transaction withholding attack” or “block withholding attack” having or intended to have such effect.

(e) “Consensus Rules” means the rules for transaction validity, block validity and determination of the canonical blockchain that are embodied in the Designated Client.

(f) “Contract” means any: (i) written, oral, implied by course of performance or otherwise or other agreement, contract, understanding, arrangement, settlement, instrument, warranty, license, insurance policy, benefit plan or legally binding commitment or undertaking; or (ii) any representation, statement, promise, commitment, undertaking, right or obligation that may be enforceable, or become subject to an Order directing performance thereof, based on equitable principles or doctrines such as estoppel, reliance, or quasi-contract.

(g) “FreeLoaderz Property" means any Token or other asset, right or property licensed to or on deposit with or owned, held, custodied, controlled or possessed by or on behalf of FreeLoaderz, including any Token on deposit with or held, controlled, possessed by or on deposit with the Designated Smart Contract.

(h) "Designated Communication Platform" means the Discord server, chat room, or other such communication platform that shall be deemed the primary online venue for FreeLoaderz Members to gather. The online address of this platform shall be recorded in the metadata of a Non-Fungible Token minted on the Designated Blockchain and placed in the FreeLoaderz Treasury.

(i) “Designated Blockchain” means at any given time, the version of the digital blockchain ledger that at least a majority of nodes running the Designated Client on the Designated Blockchain Network recognize as canonical as of such time in accordance with the Consensus Rules.

(j) “Designated Blockchain Network” means the Cardano mainnet as recognized by the Designated Client.

(k) “Designated Client” means the Daedalus client available at https://github.com/input-output-hk/daedalus

(l) “FreeLoaderz Identity Token” means the Non-Fungible Token on the Cardano Blockchain with Token Identifier 329006853fed21ad7968e3538ac70dfb5fb097a1b6b587ee3fc3f13e.FLZ

(m) “Designated Smart Contract” means the smart contract holding the FreeLoaderz Identity Token on the Designated Blockchain.

(n) “Associated Smart Contract” means any smart contract that is produced by the Designated Smart Contract for the purpose of DAO operations.

(o) “Distributed FreeLoaderz Property” means any asset, right or property that was once FreeLoaderz Property and has been distributed to a DAO Member.

(p) “Legal Order” means any restraining order, preliminary or permanent injunction, stay or other order, writ, injunction, judgment or decree that either: (i) is issued by a court of competent jurisdiction, or (ii) arises by operation of applicable law as if issued by a court of competent jurisdiction, including, in the case of clause “(ii)” an automatic stay imposed by applicable law upon the filing of a petition for bankruptcy.

(q) “Legal Proceeding” means any private or governmental action, suit, litigation, arbitration, claim, proceeding (including any civil, criminal, administrative, investigative or appellate proceeding), hearing, inquiry, audit, examination or investigation commenced, brought, conducted or heard by or before, or otherwise involving, any court or other governmental entity or any arbitrator or arbitration panel.

(r) “Liability” means any debt, obligation, duty or liability of any nature (including any unknown, undisclosed, unmatured, unaccrued, unasserted, contingent, indirect, conditional, implied, vicarious, inchoate derivative, joint, several or secondary liability), regardless of whether such debt, obligation, duty or liability would be required to be disclosed on a balance sheet prepared in accordance with generally accepted accounting principles and regardless of whether such debt, obligation, duty or liability is immediately due and payable. To be “Liable” means to have, suffer, incur, be obligated for or be subject to a Liability.

(s) “Lien” means any lien, pledge, hypothecation, charge, mortgage, security interest, encumbrance, other possessory interest, conditional sale or other title retention agreement, intangible property right, claim, infringement, option, right of first refusal, preemptive right, exclusive license of intellectual property, community property interest or restriction of any nature including any restriction on the voting of any security or restriction on the transfer, use or ownership of any security or other asset.

(t) “Material Adverse Exception Event” means that one or more of the following has occurred, is occurring or would reasonably be expected to occur:

  • (i) a Consensus Attack adversely affecting the results or operations of the Designated Smart Contract;

  • (ii) the Designated Smart Contract having become inoperable, inaccessible or unusable, including as the result of any code library or repository incorporated by reference into the Designated Smart Contract or any other smart contract or oracle on which the Designated Smart Contract depends having become inoperable, inaccessible or unusable or having itself suffered a Material Adverse Exception Event, mutatis mutandis;

  • (iii) a material and adverse effect on the use, functionality or performance of the Designated Smart Contract as the result of any bug, defect or error in the Designated Smart Contract or the triggering, use or exploitation (whether intentional or unintentional) thereof (it being understood that for purposes of this clause “(iii)”, a bug, defect or error will be deemed material only if it results in a loss to a FreeLoaderz Member or FreeLoaderz of at least 25 percent of such FreeLoaderz Member's distributable interest in FreeLoaderz Property and/or 15 percent of the FreeLoaderz Property);

  • (iv) any unauthorized use of an administrative function or privilege of the Designated Smart Contract, including: (A) any use of any administrative credential, key, password, account or address by a Person who has misappropriated or gained unauthorized access to such administrative credential, key, password, account or address or (B) any unauthorized use of an administrative function or privilege by a FreeLoaderz Member or a representative of a FreeLoaderz Member; or

  • (v) the Designated Smart Contract, any of the FreeLoaderz Members or the FreeLoaderz Property is subject to a Legal Order that prohibits the Designated Smart Contract (or that, if the Designated Smart Contract were a Person, would prohibit the Designated Smart Contract) from executing any function or operation it would otherwise reasonably be expected to execute.

  • (vi )“Person” means any human, robot, bot, artificial intelligence, corporation, partnership, association or other individual or entity recognized as having the status of a person under the law.

  • (vii) “Token” means a digital unit that is recognized by the Designated Client on the Designated Blockchain Network as capable of: (a) being uniquely associated with or “owned” by a particular public-key address on the Designated Blockchain Network at each particular block height; and (b) having Transfers of such digital unit recorded on the Designated Blockchain.

  • (viii) “Transfer” of a Token to a given address (the “Receiving Address”) on the Designated Blockchain Network will be deemed to have occurred if and only if it is recognized by the Designated Client on the Designated Blockchain Network that:

  • (ix) there has been duly transmitted to the Designated Blockchain Network a new transfer function transaction that:(a) provides for the reassociation of the Designated Token with the Receiving Address; and (b) is signed by a private key that is (or a group of private keys that together are) sufficient to authorize the execution of such transfer function; and

  • (x) such transaction has been Confirmed.

(u) "Member Removal" means removal from the membership via vote of GovToken Holders or other process as described in the Handbook. Unless specifically provided otherwise a member subject to Membership Removal shall not be entitled to any distribution or return of capital, funds, retains, etc.
